Welcome to Kickmates. These Terms of Service ("Terms") govern your access to and use of the Kickmates platform, including our website, mobile applications, and any associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Kickmates, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Keep your password secure and confidential. You are responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized access to or use of your account.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or in violation of these Terms.

3. Use of the Service

Kickmates provides a platform for football fans to create and join prediction groups, make match predictions, and compete on leaderboards. You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal or unauthorized purpose, including but not limited to gambling activities where prohibited by law.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or any connected networks.
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Use bots, scrapers, or automated tools to access or interact with the Service without our prior written consent.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.

4. Prediction Groups

Kickmates allows users to create and manage prediction groups. As a group administrator, you are responsible for:

• Managing group membership and enforcing group-specific rules.
• Ensuring that group activities comply with these Terms and applicable laws.
• Moderating content and behavior within your group.

We reserve the right to remove or disable any group that violates these Terms or that we determine, in our sole discretion, is harmful to other users or the platform.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Kickmates and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You retain ownership of any content you submit to the Service, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with operating and improving the Service.

6. User Content

You are solely responsible for any content you submit, upload, or display through the Service ("User Content"). By submitting User Content, you represent and warrant that:

• You own or have the necessary rights to use and authorize the use of your User Content.
• Your User Content does not infringe upon any third party's intellectual property rights, privacy rights, or other legal rights.
• Your User Content does not contain any material that is false, misleading, or deceptive.

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

7. Subscriptions and Payments

Certain features of the Service may require a paid subscription. If you choose to subscribe:

• You agree to pay all fees associated with your chosen subscription plan.
• Subscriptions automatically renew unless cancelled before the end of the current billing period.
• Prices are subject to change with reasonable notice. Continued use after a price change constitutes acceptance of the new price.
• Refunds are handled in accordance with our refund policy. You may cancel your subscription at any time through your account settings.

8. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

Kickmates is a prediction and entertainment platform. We do not guarantee any specific outcomes, and predictions made through the Service should not be relied upon for financial or betting decisions.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Kickmates and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your access to or use of (or inability to access or use) the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kickmates and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may also delete your account at any time through your account settings. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect, either through an email notification or a prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
